PACKAGE ACCEPTANCE SUMMARY
Provider: EQ Intelligence AI, Inc. (“EQAI”)
Customer: The business, organization, or individual creating an EQAI account, accepting an Order Form, selecting a package, paying an invoice, or purchasing EQAI Services (“Customer”).
If the person accepting this Package Acceptance Summary is acting on behalf of a business or other legal entity, that person represents that they have authority to bind that entity.
Selected Package
Customer is purchasing the EQAI package identified at checkout, in the applicable Order Form, proposal, or invoice.
The selected package may specify:

Recurring subscription fee
Setup and implementation fee
Billing frequency
Usage allowances
Included AI Partners
Included assessments or workflows
Included integrations
Support level
Managed-service scope
Trial period, if applicable
Commitment period, if applicable
Overage pricing
Additional package-specific terms
The selected package, together with this Package Acceptance Summary and EQAI’s incorporated legal terms, defines Customer’s purchased scope.
Services
EQAI provides access to its software-enabled Customer Intelligence Platform and related services.
Depending on the selected package, Services may include:
Branded AI Partner experiences
Conversational AI
Customer-intelligence capture
Lead capture
Assessments and personalized reports
Knowledge-source configuration
Customer-journey workflows
Plan, offer, and CTA routing
Campaign and attribution tracking
Behavioral and conversational analytics
GA4 and Google Tag Manager integrations
CRM and API integrations
Dashboards and reporting
Audit intelligence
Automation
Implementation and onboarding
Managed optimization
Support
Other related services included in the purchased package
Specific functionality and service levels vary by package and purchased scope.
License
Subject to payment and compliance with EQAI’s Terms and Conditions, Customer receives a limited, non-exclusive, non-transferable, non-sublicensable right during the active subscription term to access and use EQAI for Customer’s internal business purposes and engagement with Customer’s own prospects, customers, guests, members, users, or other authorized audiences.
No ownership interest in EQAI software or technology is transferred to Customer.
Fees and Billing
Customer agrees to pay all fees shown at checkout, in the applicable Order Form, proposal, or invoice.
Fees may include:
Setup and implementation fees
Recurring platform fees
Managed-service fees
Usage or overage charges
Additional AI Partner, brand, location, integration, feature, or data-capacity fees
Professional-service fees
Installment payments
Renewal fees
Applicable taxes
Setup and implementation fees are separate from recurring platform fees unless expressly stated otherwise.
Unless otherwise stated in writing or required by applicable law, fees already paid are non-refundable and committed payment obligations are non-cancelable.
Customer authorizes EQAI and its payment processor to charge the selected payment method according to the applicable billing schedule.
Additional billing terms are governed by EQAI’s Billing Terms.
Renewal and Cancellation
Unless otherwise stated in the selected package, Order Form, or checkout terms, recurring subscriptions automatically renew according to the applicable billing period until canceled or non-renewed.
Cancellation generally stops future renewal but does not ordinarily result in a refund for amounts already paid.
If Customer has agreed to an annual commitment, installment plan, fixed term, minimum-spend arrangement, or other committed payment obligation, cancellation or non-use does not eliminate amounts already committed.
Cancellation and renewal procedures are further described in EQAI’s Billing Terms.
Usage and Overages
Some EQAI packages include usage or capacity allowances.
Usage may be measured using metrics including:

AI Partner conversations
Messages
Model calls
Tokens
Assessments
Reports
Users
Leads
Tracked events
Campaigns
API usage
Locations
Brands
Data volume
AI processing
Other operational metrics
Usage exceeding included allowances may result in overage charges, additional capacity fees, or a required plan adjustment according to the applicable package.
Customer Responsibilities
Customer is responsible for providing timely, accurate, complete, and lawful information and materials needed to configure and operate EQAI.
This may include:
Business information
Website links
Brand assets
Knowledge sources
Product or service information
Pricing
Offers
Assessment content
Approvals
Calendar or booking links
CRM information
Analytics identifiers
Payment links
Other configuration materials
Customer remains responsible for its own website, CRM, booking system, calendar, payment processor, analytics properties, advertising accounts, communications platforms, and other third-party systems unless expressly included in the purchased scope.
Customer is also responsible for ensuring that its use of EQAI complies with applicable privacy, marketing, communications, and data-protection laws.
AI Output Disclaimer
EQAI uses artificial intelligence, machine learning, large language models, automated workflows, classification technologies, and related systems.
AI-generated or AI-assisted outputs may contain inaccuracies, omissions, non-unique language, outdated information, incorrect classifications, hallucinations, or bias.
Output quality may depend materially on the accuracy, completeness, quality, and currency of Customer-provided information, knowledge sources, prompts, workflows, and configuration.
EQAI does not provide legal, medical, tax, accounting, investment, healthcare, employment, financial, or other regulated professional advice unless expressly agreed in writing.
Customer is responsible for appropriate human review before relying on AI outputs in legally significant, financial, healthcare, employment, safety-sensitive, regulatory, or other high-risk contexts.
Data and Privacy
Customer retains ownership of Customer Data.
Customer grants EQAI the limited rights necessary to host, process, transmit, analyze, display, secure, support, and administer Customer Data in order to provide the Services.
Customer represents that it has the rights, permissions, notices, and consents necessary for EQAI to process Customer Data as contemplated by the Services.
EQAI does not sell Customer Data.
Unless Customer expressly authorizes otherwise, EQAI does not use identifiable Customer Data to train publicly available or third-party foundation models.
Customer agrees not to submit restricted information such as protected health information regulated by HIPAA, full payment-card information outside approved payment processor workflows, authentication secrets, or other prohibited sensitive information unless EQAI has expressly approved the use case in writing.
Use of personal information is further governed by EQAI’s Privacy Policy.
Intellectual Property
EQAI retains all rights, title, and interest in its software, platform architecture, system prompts, AI Partner structures, customer-intelligence architecture, data schemas, classification systems, assessment frameworks, report architectures, Data Flywheel methodology, attribution methods, Audit methodology, routing architecture, reusable workflows, configuration systems, algorithms, methods, processes, know-how, and related technology.
Customer retains ownership of Customer’s own trademarks, logos, business information, website content, proprietary materials, and Customer Data.
Customer-specific configurations may contain both Customer-owned materials and EQAI intellectual property.
Customer receives the rights necessary to use Customer-specific configurations and outputs in connection with the active EQAI Services, but no ownership interest in EQAI’s underlying technology or reusable intellectual property is transferred.
Third-Party Services
EQAI may rely on or integrate with third-party services including AI model providers, hosting providers, payment processors, analytics tools, CRMs, calendar and booking platforms, email and communications providers, automation systems, and other technology providers.
Third-party services may experience outages, modify functionality, change APIs, impose limits, or discontinue features outside EQAI’s control.
EQAI may substitute reasonably appropriate third-party providers where necessary to maintain or improve the Services.

Customer acquisition results
Uninterrupted service
Absolute security
Error-free operation
Error-free AI output
Examples, historical performance, case studies, projections, and benchmarks do not guarantee future results.
Limitation of Liability
To the maximum extent permitted by applicable law, EQAI’s aggregate liability arising from or relating to the Services is limited to the total amounts actually paid by Customer to EQAI during the twelve months immediately preceding the event giving rise to the claim.
To the maximum extent permitted by law, EQAI is not liable for indirect, incidental, special, exemplary, consequential, or punitive damages, lost profits, lost revenue, lost business opportunity, lost goodwill, data loss, or business interruption.
Nothing in this section excludes liability that cannot legally be excluded or limited.
Term and Termination
The applicable subscription term begins according to the selected package, checkout page, Order Form, proposal, or invoice.
Renewal, cancellation, and non-renewal are governed by the selected package and EQAI’s Billing Terms.
If Customer stops using EQAI before the end of a committed term, all committed fees remain due unless EQAI expressly agrees otherwise in writing.
Upon termination or expiration, Customer’s right to access and use the Services ends, subject to any limited post-termination data-export period EQAI may make available.
Order of Precedence
If this Package Acceptance Summary conflicts with a separately signed Order Form, enterprise agreement, or other written agreement executed by EQAI and Customer, the separately signed agreement controls with respect to the conflicting provision.
Otherwise, the selected package terms, Billing Terms, Terms and Conditions, Privacy Policy, and this Package Acceptance Summary operate together.
Acceptance
By creating an account, accepting an Order Form, selecting a package, checking the required acceptance box, paying an invoice, and/or completing checkout, Customer acknowledges that it has reviewed and agrees to:
